The Problem: The Exposure Nobody Priced.

A submission lands. Israeli target, 340 employees, options under Section 102. The underwriting call is Thursday.

Counsel's report covers the plan, a sample of the grant letters, and the ledger the company handed over. Not because anyone believes a sample is enough. Because the deal signs in three weeks.

You cannot check the work. Section 102 is not expertise a foreign insurer carries in-house. If a blown election surfaces after close, the claim lands on your book.

Sampling is not a diligence standard. It is a budget constraint that hardened into one.

Somewhere in the grants nobody read sits the claim nobody priced.

Why Now

Rare Routine

In a few years, R&W coverage on Israeli deals went from rare to routine, replacing escrow as the default deal mechanic.

Still a sample

The equity diligence under those policies has not moved.

Coverage kept climbing. The diligence under it never moved.

Vest reviews the whole population. Deterministic checks, every finding cited to source.

How Vest Works

Any Data Room, Any Format

Vest reads whatever the room contains: PDF, Excel, scanned grant letters. No setup on the seller's side. If the buyer has access, the review can run.

Full-Population Grant Review

Vest reconciles every grant letter, board approval, and ledger entry against the cap table. Every conflict surfaces.

Findings Cited to Source

Each finding names the document, the clause, the conflict, and its severity. Counsel clicks through and confirms. Written for readers who have never touched Israeli equity law.

Section 102 Native

Vest checks track eligibility, holding periods, trustee alignment, and approval chains against the grant record. The Israeli expertise you cannot hire for one deal, built in.

Built for Underwriters

Your Comfort Comes From Counsel's Report. It Still Does.

Counsel still runs the review and still signs the DD report you rely on. Vest changes the floor that report starts from: every grant read, every finding cited to the exact clause, so counsel verifies instead of trusts.

The underwriters who see the whole file, on live Israeli deals, will know exactly how much Section 102 exposure they are pricing. Everyone else keeps hoping the sample caught what matters.

Same counsel, same sign-off. A review that read everything.

The only equity platform that builds from source documents. No data entry, no dependency on the seller.

With Vest

Revelator had been on Vest for 8 months before Warner Music acquired them. The data was already clean. Reconciliation was continuous, not a crisis. When DD started, it was already done.

"There is no comparable product in the world that knows how to do due diligence on options like this."

Common Questions

Answered.

Do any insurers or brokers use Vest in underwriting today?
No, and we will not pretend otherwise. Vest runs in production with financial firms and law firms, proven on a live exit: Revelator's acquisition by Warner Music Group. This page exists to start the underwriting conversation.
Does the target company need to be a Vest customer?
No. The data room is uploaded as-is: PDF, Excel, scans. Nothing is installed on the seller's side.
What does the findings report cover?
Ownership hierarchy, grant-level option detail, vesting status, and Section 102 compliance. Every finding is scored for severity and cited to the exact document and clause.
We have no Israeli equity expertise in-house. Can we read the output?
That is who it is written for. Plain-language findings, the rule named, the source cited. Counsel verifies the citations; you read conclusions.
Who engages Vest on a deal, and who pays?
The buyer or their counsel commissions it inside the existing diligence budget, or a broker or underwriter requests it with the submission. A typical data room processes in under an hour. Which path fits your book is what the intro call is for.
Is Vest only for Israeli deals?
No. Vest also verifies US equity, including 409A and ASC 718, and is built to adapt to additional jurisdictions.

The next Israeli submission on your desk will have Section 102 equity in it.
